Terms of Service

Effective date: February 23, 2026

These Terms of Service ("Terms") govern your use of the HeyMada website, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you are a consumer in the European Union, these Terms do not limit any non-waivable rights you have under applicable consumer law.

The Services are provided by Digital DaVincis, located at Killurney, Ballypatrick, Clonmel, Ireland.

1. Eligibility and Account

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for providing accurate account information, maintaining the confidentiality of your login credentials, and all activity under your account.

2. Service Description

HeyMada provides AI-powered coaching tools designed to support personal and professional development. Services may include text-based coaching conversations, guided voice sessions, reflective summaries, goal tracking, and optional human coach experiences.

The Services are intended for growth, reflection, and decision support. They are not medical, psychological, psychiatric, therapeutic, legal, or financial services. HeyMada does not provide therapy, mental health treatment, crisis intervention, or emergency services. Use of the Services does not create a therapist-client, doctor-patient, attorney-client, fiduciary, or other professional relationship.

The Services are not a substitute for professional medical or mental health care. If you are experiencing a medical emergency, mental health crisis, or believe you may be at risk of harm, contact your local emergency services immediately. In the United States, you may call or text 988 for the Suicide & Crisis Lifeline. If you are located in another country, please contact your local emergency or crisis support services.

HeyMada does not provide real-time emergency monitoring and is not responsible for responding to crisis situations.

3. AI-Assisted Service Terms

Certain features of the Services use artificial intelligence systems to generate coaching responses, summaries, prompts, and insights. AI-generated output is automated and may be incomplete, inaccurate, or not fully applicable to your specific circumstances.

AI features are intended to support reflective coaching conversations and are not designed to diagnose, assess, treat, or prevent any medical or mental health condition. You acknowledge that AI-generated content is informational in nature and should not be relied upon as professional advice.

You remain solely responsible for evaluating outputs and for all decisions, actions, and outcomes resulting from your use of the Services.

HeyMada has been developed with reference to established coaching competencies and ethical principles published by the International Coaching Federation (ICF), including publicly available guidance related to AI-supported coaching. We strive to maintain alignment with these principles; however, AI-generated content may not always perfectly reflect them.

If you identify content that appears inconsistent with professional coaching standards or ethical expectations, please notify us at contact@heymada.com so we can review and improve the system.

We do not use solely automated decision-making to make legal or similarly significant decisions about you.

4. Acceptable Use

You agree to use the Services in a lawful, respectful, and responsible manner. You may not:

  • Use the Services for unlawful, harmful, abusive, fraudulent, or deceptive activity.
  • Use the Services to threaten, harass, exploit, or harm others.
  • Attempt to access, interfere with, disrupt, or compromise the security, integrity, or performance of the Services or related systems.
  • Upload, transmit, or distribute malware, malicious code, or harmful content.
  • Attempt to reverse engineer, scrape, copy, extract, or misuse the Services beyond normal, intended use.
  • Use automated systems to access the Services in a manner that sends excessive requests or disrupts normal operations.

We reserve the right to suspend or restrict access where we reasonably believe a violation of these Terms has occurred or where necessary to protect users, the Services, or legal compliance.

5. User Content

You may provide content such as messages, recordings, session goals, and reflections ("User Content"). You retain ownership of your User Content.

You grant HeyMada a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and use User Content as needed to operate, secure, and improve the Services, and to comply with law.

You represent that you have all rights necessary to submit User Content and that your User Content does not violate applicable law or third-party rights.

6. Payments, Subscriptions, and Credits

Paid features are processed through third-party payment processors (such as Stripe). By purchasing a paid plan or session credits, you authorize charges to your payment method under the selected terms.

Subscription plans renew automatically unless canceled before the next billing date. You can manage or cancel subscriptions through your billing portal.

One-time session credit purchases are generally non-refundable except where required by applicable law or stated otherwise in writing.

Pricing, plan features, and availability may change. Any change will apply prospectively.

If you are an EU consumer, you may have a statutory right of withdrawal for certain distance contracts within 14 days. Where digital services begin immediately at your request, we may ask for your express consent and acknowledgement that your withdrawal right may be reduced or lost once performance starts, as permitted by applicable law.

7. Third-Party Services

The Services may integrate with third-party providers (for example, authentication, payments, scheduling, voice/video infrastructure, or transcription). Your use of those third-party services may be subject to their separate terms and policies.

8. Intellectual Property

The Services, including software, design, trademarks, and brand assets, are owned by HeyMada or its licensors and are protected by intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, sell, or create derivative works from the Services.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYMADA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that outputs will be accurate for your specific circumstances.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYMADA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HEYMADA FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO HEYMADA FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM; OR (B) USD $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless HeyMada and its affiliates, officers, employees, contractors, and licensors from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

12. Suspension and Termination

We may suspend or terminate access to the Services if we reasonably believe you violated these Terms, created legal or security risk, or where required by law. You may stop using the Services at any time.

13. Changes to Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and update the effective date. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of Ireland, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

If you are an EU consumer, you may bring claims before the courts of your country of habitual residence and benefit from mandatory consumer protections in your country of residence.
